Ather Application Terms And Conditions

When you sign-up with us, you agree to follow the conditions listed below. The summaries are not a part of the actual policy, we have added them to make things easier to understand for you. These Terms of Use (“Terms of Use”) have been drafted in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of  the Ather application (“Application”).

About Us

The Application is owned and managed by Ather Energy Limited (formerly known as Ather Energy Private Limited), a public limited company, incorporated and existing under the laws of India and having its registered office at 3rd Floor Tower D, IBC Knowledge Park, Bannerghatta Main Road, Bengaluru, Karnataka 560029 and Corporate Identification Number is (CIN) L40100KA2013PLC093769 (hereinafter referred to as “Company”)

Terms of Use

Summary: This covers all the terminology that will be used in the rest of the document.

Your use of the Application and services and tools are governed by the following terms and conditions ("Terms of Use") as applicable to the Application including the applicable policies which are incorporated herein by way of reference. If You transact on the      Application, You shall be subject to the policies that are applicable to the Application for such transaction. By mere use of the Application, You shall be contracting with Company and these Terms of Use including the policies constitute your binding obligations, with the Application.

For the purpose of these Terms of Use, wherever the context so requires "You" or "User" shall mean any natural or legal person who has agreed to become a user of the Website/ Application by providing registration data while registering on the Website Application as Registered User using the computer mobile systems devices. This Website allows the User to surf the Website. The term "We", "Us", "Our" shall mean Company.

Eligibility to use

Summary: You have to be 18 years old to use this site.

Use of the Application is available only to persons who can form legally binding contracts under Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872 including minors, un-discharged insolvents etc. are not eligible to use the Application. If you are a minor i.e. under the age of 18 years, you shall not register as a User of the Application and shall not transact on or use the      Application. As a minor if you wish to use or transact on Application, such use or transaction may be made by your legal guardian or parents on the Application. Company reserves the right to refuse You access to the Application if it is brought to Company's notice or if it is discovered that you are under the age of 18 years. By visiting Application or accepting these Terms of Use, You represent and warrant to Company that You are 18 years of age or older, and that You have the right, authority and capacity to use the      Application and agree to and abide by these Terms of Use. You also represent and warrant to the Company that You will use the Application in a manner consistent with any and all applicable laws and regulations. 

The Company reserves the right, at its sole discretion, to modify, enhance, upgrade, or issue updates to the Ather Application at any time. This includes, but is not limited to, pushing required security patches, bug fixes, new functionalities or feature enhancements necessary for the continued integrity and security of the Application. You acknowledge and agree that such updates may result in temporary service interruptions or changes to existing features. Company shall not be liable, directly or indirectly, for any loss of access, loss of data, or any other incidental or consequential damages resulting from such updates or modifications. Your continued use of the application following an update constitutes your acceptance of such changes.

The Company reserves the right to refuse access to use of the service(s) offered at the Application to new Users or to terminate access granted to existing Users at any time, in whole or in parts, without according any reasons for doing so. 

The availability and functionality of the Application, its features and/or the associated Ather Wallet (defined below) are subject to User meeting required technical and security standards and functioning required for safe usage of the Ather Application. If the User does not meet these requirements, due to any reasons whatsoever including but not limited to limitation on the User’s devices, non-compatibility with User’s Operating Systems etc., the Application and / or Ather Wallet and / or any of the features thereof, may not be available, in parts or in whole, or may not function appropriately. The Company does not guarantee accessibility of the Application and / or Ather Wallet and / or any of the features thereof. The Company assumes no responsibility or liability for such User based dependencies, technical incompatibility or other malfunctions. By continuing to use the Application, the User irrevocably releases the Company from liability therein and waives any and all claims, whether in contract or tort or otherwise, arising from such occurrences.

Your use of the Application

Summary: You need an account to use all the features on the Application. Keep your password secret and don’t lie to us!

Users of the Application are required to register themselves on the Application and make an individual account with Company in order to receive its services. Such an account is accessible by the unique username and password provided to the User by the Company when they chose to register themselves on the Application. The said username and password should be kept highly confidential and should not be disclosed to any third party. You agree to accept responsibility for all activities that occur under your account or password. You should take all necessary steps to ensure that the password is kept confidential and secure and should inform us immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be used in an unauthorized manner.

You shall ensure that the Account Information provided by You in the Application      registration form is complete, accurate and up-to-date. Use of another user's Account Information for availing the Services is expressly prohibited.

If You provide any information that is untrue, inaccurate, not current or incomplete (or becomes untrue, inaccurate, not current or incomplete), or Company has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Company has the right to suspend or terminate Your Account and refuse any and all current or future use of the Application (or any portion thereof).

Ather Wallet

Summary: We offer Ather Wallet on the Application, the use of which is governed by terms and conditions stipulated hereunder.

The Company offers a wallet on the Ather Application  and such other platforms / forums as may be determined by the Company from time to time (“Ather Wallet”), which You can access and deposit money into, for procuring goods or services identified by the Company through the Application and such other forums / platforms as may be determined by the Company from time to time. At the time of availing any such services or goods, You have the option to apportion the Ather Wallet balance towards the same.  Upon verification of information to the Company’s satisfaction (if any), the Company will open an Ather Wallet for your benefit, for You to utilise such Ather Wallet for availing goods or services identified by the Company through the Application and such other forums / platforms as may be determined by the Company from time to time . The Company, in its sole discretion and without prior notice, reserves the right to amend or delete the goods or services that will be available through the Ather Wallet on the Ather Application and such other forums / platforms as may be determined by the Company from time to time.     

The Ather Wallet is provided by the Company as a ‘Closed System Prepaid Payment Instrument (Closed PPI)’. You may load/ deposit your Ather Wallet through different sources, as prescribed in these Ather Wallet Terms and Conditions (“Wallet T&Cs”) below. The amount in the Ather Wallet shall only be used for making payments towards transactions done by You on the Application and such other forums / platforms as may be determined by the Company from time to time. You acknowledge and understand that availability and management of the Ather Wallet shall be the sole discretion of the Company, and nothing contained in these Wallet T&Cs should be construed as an obligation on the Company to issue the Ather Wallet(s) to any person. You shall at all times remain responsible for your usage of the Ather Wallet, and the Company, shall in no event be responsible for any unauthorized usage thereof.

The Company reserves the right to impose and / or revise charges / fee / commissions in relation to your use of the Ather Wallet, and in case of such imposition, will communicate such charges / fee / commission to You.

The Company further reserves the right to adjust the balance in your Ather Wallet to recover any amounts payable by You, or to rectify any erroneous transactions made at the Company’s end, or to recover any costs or losses accrued by the Company in connection with your usage of the Ather Wallet.

Funding the Ather Wallet:

To deposit/add money to the Ather Wallet, You will be first required to insert the amount You wish to add to the Ather Wallet. You can load a minimum of INR 50 (Indian Rupees Fifty) or such other minimum amounts as may be determined by the Company, from time to time and communicated to You through the Application and / or these Terms, and a maximum of INR 10,000 (Indian Rupees Ten Thousand) into your Ather Wallet, through payment instruments including but not limited to credit cards, debit cards, net-banking, and UPI. After You approve the payment, money will be added to Ather Wallet, which can then be utilized by You for availing specified goods or services offered on the Application and such other forums / platforms as may be determined by the Company from time to time.  

Any amount mistakenly or erroneously transferred by You, while adding money to the Ather Wallet or while undertaking a transaction using the Ather Wallet, shall only be refunded to You by the Company at its sole discretion. For refund of erroneous transactions, please write an email to us on [email protected],  wherein we will analyse the facts and reserve the right to issue a refund back to source or not on Company’s sole discretion. 

Ways of using  Ather Wallet (which may be subject to modification, suspension, or termination at the Company’s sole discretion without prior notice):

1. Purchase of Goods and/ or Services through the Application

The Ather Wallet may be used for purchase of Ather goods, accessories, merchandise and/or services, as may be notified and determined by the Company from time to time. The availability of Ather Wallet in other specific instances will be communicated by the Company to the customers through the Ather Application and/or such other forums / platforms as may be determined by the Company from time to time. To utilize the Ather Wallet, You may also be required to clear any previous outstanding balance, as may be applicable.           

2. Charging Ather EVs 

The Ather Wallet can be used for charging your Ather EV at Ather Charging Grid(s) (public and neighbourhood charging) where the Company acts as the charging point operator, and You access such service through the Application and such other forums / platforms as may be determined by the Company from time to time, and can make payments towards such usage, at such fee as may be determined by Ather, through the Ather Wallet. 

3. Scan and Charge 

The Company offers a ‘Scan and Charge’ service wherein specific Users can scan a QR code available at Ather’s Charging Grids where Ather acts as the charging point operator (i.e., the service provider), pursuant to which such Users will be redirected to the Application, allowing them to load the Ather Wallet (as detailed below) thereafter enabling such Users to avail charging services at such grids (“Scan and Charge Service”).

The Scan and Charge Service is available for Users who are either (i) persons who intend to utilise Ather’s Charging Grids and the charging services provided by Ather through such grids, for such Users’ non-Ather vehicle, (ii) persons who have been provided Ather vehicles to operate by a fleet owner / fleet user of Ather vehicles, and intend to utilise Ather’s Charging Grids and the charging services provided by Ather through such grid, and (iii) any other Users or category of Users that the Company may determine in its sole discretion (collectively, “Scan and Charge Users”). For avoidance of doubt, any usage of the terminology ‘Users’ in these Terms of Use, shall be deemed to include Scan and Charge Users. It is hereby clarified that these Terms of Use shall apply mutatis mutandis to Scan and Charge Users.

For the purpose of availing the Scan and Charge service, having a User account with Ather on the Application is a pre-requisite. Upon creation of such User account, (i) such Scan and Charge Users are required to scan the QR code on the Ather Charging Grid for authentication and initiation of the charging process, (ii) load their Ather Wallet associated with their individual User account with adequate funds as may be required for the intended duration of charging session, and 
(iii) use such loaded funds for charging their vehicles, which shall be deducted towards and payable to the Company as the service provider.

Payments for such Scan and Charge Service can only be made through the Ather Wallet and the funds loaded into such Ather Wallet by the Scan and Charge User. The use of such Ather Wallet for availing the Scan and Charge service will be governed by the terms applicable to Ather Wallets as set out in this section.

The Scan and Charge Service shall be made available by the Company at its sole discretion, and the Company may, at any point, discontinue the Scan and Charge Service, without any liability whatsoever. Additionally, the Company may, at its sole discretion, make the Scan and Charge Service available to any other category of Users beyond the Scan and Charge Users. The Company reserves the right to introduce more service offerings for such Scan and Charge Users, and / or withhold its services including the Scan and Charge Service from Scan and Charge Users, as it may deem fit.

Any additional balance that may become available in the Wallet on account of Scan and Charge or any other reasons can be used for future charging sessions and/ or purchase of other goods and services listed on the App by the Company from time to time. 

You must ensure that your Ather Wallet has sufficient funds before initiating any transactions that utilise the amounts in the Ather Wallet, You should further ensure that all amounts in the Ather Wallet are utilised only to make payments for bona fide transactions. Please note that in light of the Reserve Bank of India’s Master Directions on Prepaid Payment Instruments dated August 27, 2021, withdrawing money from the Ather Wallet is not permitted. That said, any such withdrawal shall be subject to the terms contained herein, and any transfer to the source account is also subject to the terms contained herein, and will be permitted on a case-to-case basis, at the Company’s sole discretion. 

Please note that in the event of any dispute, the records maintained by the Company shall be treated as final and binding, and shall be deemed to be the conclusive evidence for any transactions undertaken using the Ather Wallet.

Validity of the Ather Wallet balance:

The entire balance (money loaded by You) at a wallet / account level, in your Ather Wallet, shall be valid for a period of 365 (three hundred and sixty-five) days  (“Expiry Date”), after which it will be appropriated towards services provided by Ather. On a best-efforts basis, the Company will indicate the validity period of the amounts in your Ather Wallet. We encourage You to ensure that the amounts in the Ather Wallet are used prior to the Expiry Date. 

Treatment of balance amounts prior to expiry: 

Prior to the Expiry Date, the Company will on a best-efforts basis reach out to You or notify You about the outstanding balance in your Ather Wallet which may be subject to expiry. In the event You do not take any action pursuant to such efforts made by the Company, such outstanding amounts in your Ather Wallet would lapse, and would be appropriated towards specific service(s)  by the Company. In the event You respond (by way of using the Ather Wallet or by way of reaching out to the Company) to the call for action initiated by the Company, and Your Ather Wallet has generally been inactive for a period of 335 (three hundred and thirty-five) days , the Company has the right to close your Ather Wallet. Prior to doing so, the Company may, at its discretion provide you with an option to avail a refund of the expiring amounts, back to your source mode / account through which the Ather Wallet was loaded by You. In the event such option, as an exception, is provided to You, You can contact the customer care department of the Company whose details will be shared with You by the Company, and initiate the refund process. Do note that this option is made available by the Company on a case-to-case basis, and is at its sole discretion only, and when made available, You can exercise this option only once prior to closure of your Ather Wallet. Once You exercise such option, your Ather Wallet on the Ather Application and such other forums / platforms as may be determined by the Company from time to time will be closed, and any subsequent use of the Ather Wallet on the Ather Application and such other forums / platforms as may be determined by the Company from time to time by You will mean You undergoing a fresh onboarding journey on the Ather Application and such other forums / platforms as may be determined by the Company from time to time to open a fresh Ather Wallet. The Company reserves the right to determine the manner of onboarding and the information and documentation required for such onboarding.

Suspension of Ather Wallet:

You shall ensure that You use the Ather Wallet only as per the terms contained in these Wallet T&Cs, and such other guidelines as may be prescribed by the Company from time to time. The Company reserves the right to suspend / discontinue Ather Wallet for You at any time, for any reason, including, but not limited to the following:

1. For any suspected violation of the Wallet T&Cs.

2. For any suspected discrepancy in the particular(s), or documentation  provided by You in connection with the Ather Wallet.

3. For the purpose of preventing potential fraud in relation to your usage of the Ather Wallet.

4. Due to technical failure, modification, upgrade, variation, relocation, repair, and/or maintenance due to any emergency or for any technical reasons.

5. For any other legitimate purposes determined by the Company.

Ather Benefits

Summary: The Company may at its discretion offer Ather Benefits to You which would be subject to the terms and conditions herein.

The Company at its discretion has a right to provide cashbacks, cash or discounts to You on such terms and conditions as may be determined by the Company, for downloading Ather Application and such other forums / platforms as may be determined by the Company from time to time (“Ather Benefits”). The value of such cashbacks, cash or discounts will be determined solely by the Company. 

Usage of Ather Benefits

Please note that the Ather Benefits provided to You are subject to a validity period as prescribed by the Company from time to time. You understand that the Ather Benefits shall only be used for such transactions as prescribed by the Company from time to time. In the event You utilise the Ather Benefits for any transaction, and request for a refund or return in relation to such transaction, such refund or amounts pertaining to the return shall be credited back to your customer / user account, to the extent of usage of Ather Benefits, be subject to an expiry period (as prescribed at the time of issuance of the refund). Upon expiry, such Ather Benefit shall lapse and not be available for use.      

Please note that the Ather Benefits are exclusive to You and are non-transferable. It is clarified that the Ather Benefits shall be treated as mere discounts, and shall not be converted to cash or cash equivalents, and no refund or transfer of money in lieu of Ather Benefits should be permissible. The Ather Benefits shall only be used for in-app purchases. Further, the Ather Benefits cannot be withdrawn from your Ather account. In the event You delete your Ather account, your Ather Benefits will stand forfeited, and You will not be allowed to reclaim them, even in case of re-onboarding onto the Ather Application and such other forums / platforms as may be determined by the Company from time to time. 

Please note that the provision of Ather Benefits are independent of the Ather Wallet, and are maintained separately on the Ather Application and such other forums / platforms as may be determined by the Company from time to time, and not as a part of the Ather Wallet. It is hereby clarified that the Wallet T&Cs shall not be applicable to such      provision of Ather Benefits.

Privacy and Data Protection

Please review our Privacy Policy available at https://www.atherenergy.com/policy, which also governs your use of this Application, to understand our data  practices. The personal information / data provided to us by you during the course of usage of the Application will be collected, processed, stored, and shared in accordance with our Privacy Policy and applicable laws and regulations. By using the Application, you acknowledge that you have read, understood, and agree to the practices described in our Privacy Policy. If you object to your information being collected, processed, or used as described in our Privacy Policy, please do not use the Application. Charges for using the Application

Summary: Browsing our website/forum is free!

The Company does not charge any fee for browsing the Application. The Company reserves the right to change its Fee Policy from time to time. In particular, the Company may at its sole discretion introduce new services and modify some or all of the existing services offered on the Application, which may stipulate certain charges. In such an event Company reserves the right to introduce fees for the new services offered or amend/introduce fees for existing services, as the case may be. Changes to the Fee Policy shall be posted on the Application and such changes shall automatically become effective immediately after they are posted on the Application. Unless otherwise stated, all fees shall be quoted in Indian Rupees.

Rights of use

Summary: Browsing our Application is free! But you cannot use any of our content, images or any downloads to make money for yourself or anyone else.

The Company grants you limited rights to access and make personal use of this Application, but not to download (other than page caching) or modify it, or any portion of it. These rights do not include any commercial use of this Application or its contents; any collection and use of any content, descriptions, or prices; any derivative use of this Application or its contents; any downloading or copying of account information for the benefit of a third-party; or any use of data mining, robots, or similar data gathering and extraction tools.

This Application or any portion of this Application (including but not limited to any copyrighted material, trademarks, or other proprietary information) may not be reproduced, duplicated, copied, sold, resold, visited, distributed or otherwise exploited for any commercial purpose.

Your Conduct

Summary: This is a list of things you should not do.

You must not use the Application in any way that causes, or is likely to cause, the      Application or access to it to be interrupted, damaged or impaired in any way. You understand that you, and not Company, are responsible for all electronic communications and content sent from your computer to us and you must use the Application for lawful purposes only. You must not use the Application for any of the following:

for fraudulent purposes, or in connection with a criminal offense or other unlawful activity to send, use or reuse any material that does not belong to you; or is illegal, offensive (including but not limited to material that is sexually explicit content or which promotes racism, bigotry, hatred or physical harm), deceptive, misleading, abusive, indecent, harassing, blasphemous, defamatory, libelous, obscene, pornographic, pedophilic or menacing; ethnically objectionable, disparaging or in breach of copyright, trademark, confidentiality, privacy or any other proprietary information or right; or is otherwise injurious to third parties; or relates to or promotes money laundering or gambling; or is harmful to minors in any way; or impersonates another person; or threatens the unity, integrity, security or sovereignty of India or friendly relations with foreign States; or objectionable or otherwise unlawful in any manner whatsoever; or which consists of or contains software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any "spam” to cause annoyance, inconvenience or needless anxiety

We reserve the right to initiate action under applicable laws for unauthorised use, exploitation or disclosure of vulnerabilities, content of Application, customer information, etc.

Vulnerability

We have a muti-layered security controls to our Application, products and services offered by us. We investigate all credible reports of cybersecurity vulnerabilities that may affect our products or services. If you believe that you have information about a potential cybersecurity vulnerability related our Application or products or services offered by us, please notify us by sending an email to [email protected].

POLICIES

Summary: Don’t be mean.

All the details provided in the Application is as accurate as possible but sometimes things change and you can’t hold us to it. These rules and policies can be changed. You cannot sue us. You are okay with us getting in touch with you! And if you have questions you should email us on [email protected]

Profanity Policy

Our Application prohibits the use of language that is racist, hateful, sexual or obscene in nature in any form whatsoever.

Disciplinary action may result in the indefinite suspension of a User's account, temporary suspension, or a formal warning.

Disclaimer of Warranties and Liabilities

We expressly disclaim any warranties or representations (express or implied) in respect of quality, suitability, accuracy, reliability, completeness, timeliness, performance, safety, merchantability, fitness for a particular purpose, or legality of the products listed or displayed or the content (including product information and/or specifications) on the      Application. While we have taken precautions to avoid inaccuracies in content, this      Application, all content, information, software, products, services and related graphics are provided as is, without warranty of any kind.

You hereby expressly release Company and/or its affiliates and/or any of its officers and representatives from any cost, damage, liability or other consequence of any of the actions/inactions of the vendors and specifically waiver any claims or demands that you may have in this behalf under any statute, contract or otherwise.

Identifying any kind of vulnerability may not entail us to reward you. However, the same shall be subject to Company’s sole discretion and policies.

Communications

When you visit www.atherenergy.com / forum.atherenergy.com / app.atherenergy.com or use the Application or send e-mails to us, you are communicating with us electronically. We may communicate with you by e-mail, SMS, WhatsApp, phone call or by posting notices on the website or by any other mode of communication. For contractual purposes, you consent to receive communications including SMS, e-mail, WhatsApp or phone calls from us.

Losses

We will not be responsible for any business loss (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure) or any other indirect or consequential loss that is not reasonably foreseeable to both you and us when you commenced using the Application.

Alteration of Service or Amendments to the Conditions

We reserve the right to make changes to our Application, policies, and these Terms of Use at any time, without notifying You of the same, except as required under applicable laws. You can determine when these Terms of Use were last modified by referring to the “Last Updated” legend. It shall be your responsibility to check the Terms of Use periodically for changes. Your acceptance of these Terms of Use and / or continued usage of the Application shall signify your consent to such changes and agreement to be legally bound by the same. You will be subject to the policies and Conditions of Use in force at the time that you use the Application, unless any change to those policies or these conditions is required to be made by law or government authority. If any of these conditions is deemed invalid, void, or for any reason unenforceable, that condition will be deemed severable and will not affect the validity and enforceability of any remaining condition.

Events beyond our Reasonable Control

We will not be held responsible for any delay or failure to comply with our obligations under these conditions if the delay or failure arises from any cause which is beyond our reasonable control. This condition does not affect your statutory rights.

Waiver

If you breach these conditions and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these conditions.

Governing Law and Jurisdiction

These conditions are governed by and construed in accordance with the laws of India. You agree, as we do, to submit to the exclusive jurisdiction of the courts at Bangalore.

IN NO EVENT SHALL ATHER ENERGY LIMITED (FORMERLY KNOWN AS ATHER ENERGY PRIVATE LIMITED) BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH THESE TERMS OF USE, EVEN IF USER HAS BEEN INFORMED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES.

Severability & Waiver Contact Information

If any provision of this Terms of Use is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

Photography and Videography

All the events organized by Ather Energy Ltd., and feedback received therein may be recorded and photographed. All rights to edit and publish the aforesaid subsists with Ather.

Right to Refusal

The Company reserves the right to refuse permission to You to participate in any activity organized by the company, at its discretion without assigning any reasons whatsoever. Further the Company reserves the right to re-schedule, cancel or amend the terms governing activities, at its discretion without any prior written notice/intimation.
